Operating Standard

Meridian Transaction Group approaches each mandate through a defined scope, factual presentation, documented assumptions, controlled information sharing and clear allocation of responsibility.

MTG separates documented facts from projections, identifies material information gaps and coordinates the qualified independent providers required for each transaction. Financing, credit, legal, regulatory, custody and settlement decisions remain exclusively with the applicable responsible parties.

Transaction information is handled on a mandate-specific and need-to-know basis.

Depending on the mandate, information involved and platforms selected, information-handling practices may include:

  • Confidentiality agreements.
  • Permission-based distribution.
  • Transaction-specific data rooms.
  • Role-based document access.
  • Separation of public, restricted and confidential materials.
  • Document watermarking and version control.
  • Limitation of sensitive information to what is reasonably required.
  • Coordination with counsel and technology providers when an information-security concern is identified.

MTG is not a custodian, regulated recordkeeper or cybersecurity provider. When independent platforms or service providers are used, their security controls, privacy practices and contractual terms apply separately. No electronic transmission or storage system can be guaranteed to be completely secure.

Initial Mandate Review

Transaction objective, sponsor, asset, jurisdiction, capital requirements, available documentation and information gaps.

Sponsor & Organizational Review

Ownership, control, authority, experience, existing obligations and material counterparties.

Project & Financial Review

Sources and uses, budget, schedule, financial model, cash flows, collateral, repayment capacity, exit strategy and downside scenarios.

Independent Asset Review

Title, survey, zoning, permits, appraisal, environmental, engineering, insurance and material contracts, as applicable and through qualified providers.

Structure & Execution Review

Capital stack, transaction parties, collateral, payment waterfall, covenants, reserves, jurisdictional requirements and execution sequence.

Provider Approval & Closing

KYC/AML, investor eligibility, credit approval, legal opinions, custody, settlement and regulatory filings are completed by the applicable responsible institutions. MTG coordinates the workstream but does not make or control these determinations.
