MTG provides sponsor-side transaction development, structuring, administration and coordination services. Regulated and professional services are performed separately by appropriately qualified and licensed independent parties.

Meridian Transaction Group is not a registered investment adviser, broker-dealer, securities placement agent, bank, lender, custodian, law firm or tax adviser.

MTG provides sponsor-side transaction development, structuring, administration, project coordination and execution-management services.

Investment advice, securities placement, legal, tax, fiduciary, custody and other regulated services are performed under separate engagements by appropriately qualified and, where required, licensed independent counterparties.

Regulatory Role

Sponsor-side structuring and execution coordination.

MTG acts exclusively as a sponsor-side structuring and execution coordinator. MTG is not the issuer, lender, regulated mortgage broker, broker-dealer, placement agent, investment adviser, securities underwriter, legal counsel, auditor, administrator, paying agent, calculation agent, transfer agent, registrar, trustee, security trustee, collateral agent, custodian, depository or clearing system.

MTG does not:

  • Issue, offer, sell or place securities.
  • Solicit or accept investor subscriptions.
  • Recommend investments or provide investment advice.
  • Determine investor eligibility or suitability.
  • Verify accredited-investor or QIB status as the responsible regulated party.
  • Negotiate securities purchases on behalf of investors.
  • Commit capital, approve credit or make lending decisions.
  • Provide legal, tax, accounting or regulatory opinions.
  • Hold client funds, securities or collateral.
  • Perform KYC/AML as the responsible regulated institution.
  • Independently assign ISIN, CUSIP or other securities identifiers.
  • Operate or control Euroclear, Clearstream, SIX SIS or DTC.
  • Guarantee issuance, placement, funding, returns, liquidity, custody acceptance, settlement, platform approval or any transaction outcome.

Where regulated activities are required, MTG identifies and coordinates appropriately qualified independent counterparties. Securities solicitation, subscription, execution and placement activities are conducted exclusively by the appointed registered broker-dealer, authorized placement agent or other appropriately licensed party.

Credit underwriting, credit approval and lending decisions remain solely with the applicable lender or independent credit provider.

MTG's compensation is established under written engagement agreements for the transaction-development, structuring, administration and execution-coordination services it performs. MTG does not act as a broker-dealer or securities placement agent. Securities solicitation, execution and placement activities are performed separately by the appointed registered broker-dealer, authorized placement agent or other appropriately licensed party.

All regulated services are performed by independent, appropriately licensed third parties under separate engagement with the client or transaction parties.

Independent Execution Network

Independent counterparties.

MTG works with independent capital providers and professional firms selected according to the requirements of each transaction. These parties are not employees, affiliates or agents of MTG unless expressly stated. Their participation is subject to separate engagement, diligence, availability and applicable law.

A company name or logo is published only after confirming the exact legal name, verifying the relevant registration or professional licence, confirming the organization's role, obtaining authorization for public use, and confirming the correct relationship description.

Independent providers and strategic counterparties are not offices, branches, employees, subsidiaries, affiliates or agents of MTG unless expressly identified as such under a documented relationship.

MTG is based in Miami and coordinates cross-border transaction workstreams through independent service providers and strategic counterparties in jurisdictions including Switzerland, Luxembourg and the Cayman Islands.

Administration Services

Family-office and operating-company administration.

Family-office services provided by MTG are limited to non-discretionary administrative, organizational and transaction-coordination functions. MTG does not manage or advise upon family-office assets, make investment decisions, execute securities transactions, provide legal or tax advice, exercise signatory authority or maintain custody or control of assets.

Certain operating-company experience described on this website involves a privately held business under common ownership with MTG. MTG provides administrative and operational-coordination services but does not act as a payment processor, acquiring bank, payment facilitator or custodian of merchant funds. Payment-processing services are performed by independent third-party providers.

References to the United Kingdom, Europe, South America and the Caribbean describe the location of counsel, assets, entities or coordinated workstreams. They are not MTG office locations. Miami, Florida remains MTG's only location.
