Structure determines outcome

In complex transactions the asset is rarely the variable that decides the result. The capital structure, the ownership framework and the documentation are.

Analyze the downside

Base cases are ordinary. We size capital against delayed absorption, held rates and a closed exit window, and we state what breaks first.

Alignment is engineered

Promote, control, remedies and exit rights are drafted for the scenario in which the transaction disappoints.

Duration over velocity

We prefer the counterparty a client will transact with again in a decade to the one who closes fastest this quarter.

Family Office Administration

Status: Ongoing Administrative Engagement

MTG provides non-discretionary administrative and transaction-coordination services to a private single-family office overseeing more than $100 million in family assets. The engagement has included coordinating with U.S. and U.K. counsel on cross-border corporate and asset-holding restructuring involving real estate, securities, cash and other financial assets across the United States, Europe, South America and the Caribbean.

MTG's role is administrative and coordination-focused. Legal, tax and investment determinations are made by the family office and its independently retained professional advisers. MTG does not exercise investment discretion, execute securities transactions or maintain custody or control of assets.

The assets referenced belong exclusively to the family office and are not MTG assets under management or advisement. MTG provides non-discretionary administrative and transaction-coordination services only and does not exercise investment discretion, provide custody or maintain authority over the assets.

Operating Company Administration

Status: Ongoing Administrative Engagement

MTG provides administrative and operational-coordination support to a privately held merchant-services business under common ownership. The business supports a merchant portfolio that, during a recent reporting period, generated approximately $250 million in monthly gross payment volume through independent third-party payment processors.

The reported volume represents gross transactions generated by the underlying merchant portfolio. It does not represent MTG revenue, assets under management, funds held or payment volume processed directly by MTG.

Payment-processing services are performed by independent third-party providers. MTG does not process payments, hold or transfer merchant funds, or act as an acquiring bank or payment facilitator.

References to the United Kingdom, Europe, South America and the Caribbean describe the location of counsel, assets, entities or coordinated workstreams. They are not MTG office locations. Miami, Florida remains MTG's only location.

Founder & Principal

José de Larrea y Tocón, Founder and Principal of Meridian Transaction Group, is an entrepreneur, deal originator, transaction structurer and operating executive with experience spanning wealth management, factoring, payment services, private capital and real estate development.

Earlier in his career, José spent ten years as a First Vice President in Smith Barney's International Wealth Management division, serving high-net-worth clients and developing extensive experience in financial markets and relationship management.

He subsequently founded and operated businesses focused on financial transactions and real estate projects. Since 2016, his work has centered on real estate development, opportunity origination, transaction structuring and sponsor-side coordination.

As Founder and Principal of Meridian Transaction Group, José leads opportunity development, transaction architecture, administrative coordination and the assembly of independent professional teams required to advance complex projects.

His principal experience includes work involving an Orlando hotel-development site, townhouse developments, self-storage facilities, medical-tower concepts, Central Florida service-station properties, speculative residences, condominium acquisitions and the aggregation of residential properties for potential high-end condominium redevelopment.

José's role is centered on transaction development, structuring, administration and execution coordination. Investment advice, securities placement and other regulated services are performed separately by appropriately qualified and, where required, licensed independent parties.
