MTG Principal Ventures

In a limited number of transactions MTG participates as a principal rather than solely as a coordinator. Principal Ventures covers co-sponsor and co-GP participation, sponsor capitalization and selective investments made for MTG's own account, where alignment is best demonstrated by capital and shared responsibility.

Development of transactions from thesis to executable structure, with MTG carrying a portion of the pre-transaction risk.

Strategic principal participation and selective investments for MTG's own account, on a highly limited basis.

Role Clarification

Principal participation is separately documented.

When MTG considers participating as a co-sponsor, co-GP or principal, that role is separately disclosed and documented under the applicable transaction agreements. Principal participation is evaluated independently from MTG's sponsor-side coordination mandate, with potential conflicts addressed before engagement.

Regulated and professional functions are performed independently by the appropriately qualified and, where required, licensed providers appointed to the transaction.
