02 — Division
MTG Structured Solutions
MTG Structured Solutions designs the transaction architecture supporting the documentation, issuance, settlement and administration of private-capital transactions in a form institutional counterparties recognise. Work spans private notes and structured-note programs, issuing programs and dedicated compartments, SPV and SPC architecture, and coordination of the identifiers, agents and clearing infrastructure an issuance requires, in each case through qualified third-party providers.

Structured Note Execution
Institutional Note Architecture and Execution
When an institutional, dematerialized and clearable structured note is appropriate, MTG coordinates the issuer, jurisdiction, securitization vehicle, ring-fenced compartment, borrower and underlying asset.
MTG develops the proposed economics, security architecture and execution sequence. Through qualified counsel and appointed providers, we coordinate the offering and transaction documents, responsible institutions, identifiers, custody, settlement and regulated distribution workstreams required by the structure.
Following closing, MTG coordinates provider management, reporting, covenant calendars, issuer and sponsor liaison, payments, corporate actions, redemptions and maturity.

MTG is the sponsor's central execution coordinator—not the issuer, lender, counsel, auditor, broker-dealer, placement agent, custodian or clearing system. Each appointed provider remains independently responsible for its function.
Our Approach
How the work is done.
01
Infrastructure follows the instrument
Identifiers, agents and depositories are selected after the instrument, holder base and jurisdiction are settled — never as a default checklist.
02
Proportionality
A private bilateral note and a cleared program require materially different infrastructure. Over-engineering costs time and credibility.
03
Licensed execution
Placement, agency, trustee, depository and legal opinions are performed by regulated independent parties engaged for the transaction.

Most MTG mandates begin as a question about structure. Bring the question.
